Please see attached a statement from Hipgnosis Song Management Limited which explains that were Hipgnosis Songs Fund Ltd purport to terminate the IAA and/or hand HSM’s responsibilities under the IAA to a third party, HSM and its majority shareholder are fully resolved to protect all of their rights under the IAA.

The Board of Hipgnosis (the “Board”) notes the announcement by Blackstone Europe LLP, acting as sub- advisor to the Blackstone Funds (together with its affiliates “Blackstone”) and confirms that it yesterday received an improved proposal to acquire the entire issued and to be issued share capital of Hipgnosis on the terms set out in the Blackstone announcement (the “Proposal”).

The Board, having reviewed the Proposal with its financial adviser, Singer Capital Markets, has indicated to Blackstone that the Proposal is at a value that it would be minded to recommend to its shareholders should Blackstone announce a firm intention to make an offer pursuant to Rule 2.7 of the Code on such financial terms.

Blackstone Europe LLP, acting as sub-advisor to the Blackstone Funds (together with its affiliates “Blackstone”) notes the recent speculation regarding Hipgnosis. Blackstone confirms that it has made a series of proposals regarding a possible offer for the entire issued and to be issued share capital of Hipgnosis (each, a “Proposal”). Blackstone furthermore notes Concord Chorus Limited’s firm offer on 18 April 2024 to acquire the entire issued and to be issued share capital of Hipgnosis (the “Concord Offer”).

Blackstone has today made an improved fourth proposal to acquire the entire issued and to be issued share capital of Hipgnosis at a price of $1.24 per share in cash (the “Fourth Proposal”). Should Blackstone announce a firm intention to make an offer for Hipgnosis pursuant to Rule 2.7 of the Code under the terms of the Fourth Proposal (a "Firm Offer"), it is intended that such a Firm Offer would be effected by means of a takeover offer as defined in Chapter 3 of Part 28 of the Companies Act 2006. However, Blackstone would reserve the right, pursuant to its rights under the Code to implement any such Firm Offer by way of a scheme of arrangement under Part 26 of the Companies Act 2006 should a Firm Offer be announced.

The Board of Hipgnosis Songs Fund is providing an amendment to its Operative Net Asset Value (“Operative NAV“) following identification of an error due to the double counting of accrued revenue in the calculation of Operative NAV by Hipgnosis Song Management Limited (the “Investment Adviser”). This error results in a 7.6% reduction in the pro forma Operative NAV per Ordinary Share from $1.1657 (92.08 pence) as stated on 4 March 2024 to $1.0765 (85.03 pence).

The Company announced on 5 February 2024 that it is seeking to secure an indemnity from Merck Mercuriadis and Hipgnosis Songs Management Limited (the “Investment Adviser”), which is majority owned by funds managed and/or advised by Blackstone, further to High Court proceedings being issued and served upon Mr Mercuriadis, the Investment Adviser and the Company.

The newly constituted Board of the Company is pleased to report that following the EGM held today, the special resolution was overwhelmingly passed on a poll, with 99.9% of shareholders voting in favour.

The Board announces that, at the AGM held at 10.00 on 26 October 2023, Ordinary Resolutions 1, 2, 3, 4, 7, 9, 10 and 11 were passed without amendment by the requisite majority and Special Resolutions 13 and 14 were also passed without amendment by the requisite majority. Ordinary Resolutions 5 and 12 were not passed. Ordinary Resolutions 6 and 8 were withdrawn ahead of the AGM.

It also announces that, at the EGM held at 10.30 on 26 October 2023, Ordinary Resolution 1 was not passed.

The Board of Hipgnosis announces that Andrew Wilkinson and Paul Burger have resigned as non-executive directors of the Company. 

Accordingly, Resolution 6 and Resolution 8 to be tabled at the Annual General Meeting on 26 October 2023 have been withdrawn. 

Following the announcement on 28 September 2023, the Board of Hipgnosis Songs Fund Limited announces that, following substantive engagement with a number of parties, it did not receive a Superior Offer as part of the Go-Shop process in connection with the First Disposal.

The Company was in contact with 17 parties at the beginning of the Go-Shop, with eight parties signing NDAs; one first round non-binding offer was received, but did not subsequently result in a binding bid. The Board received feedback through the process that a number of the parties assessed that they could not justify paying a higher price than the offer from the Buyer for the First Disposal.

Following the announcement on 16 October 2023, the Company's lenders have agreed to amendments to the Revolving Credit Facility to return the Company to compliance with the Fixed Charge Cover Ratio covenant. 

The Board of Hipgnosis Songs Fund Limited announces that it was notified on 13 October 2023 that Citrin Cooperman, the Company’s Independent Portfolio Valuer, has materially reduced its expectations of industry-wide retroactive payments in relation to the U.S. Copyright Royalty Board's  decision in relation to royalties payable to songwriters for the period covering 2018-2022 (“CRB III”) for its valuation of the Company’s portfolio as at 30 September 2023. As a result, the Board now expects to receive significantly lower retroactive payments in relation to CRB III and therefore intends to reduce its CRB III retroactive accrual to $9.9m, from $21.7m as at 31 March 2023.

Accordingly, in consequence of this unwinding of the CRB III accrual, the Board has decided to withdraw the proposed interim dividend of 1.3125 pence per share announced on 21 September 2023 in order to ensure compliance with its revolving credit facility’s Fixed Charge Cover Ratio covenant.

In addition, the Company is in discussion with the agent and the lenders to avoid any potential impacts of the unwinding of the CRB III accrual on future Fixed Charge Cover Ratio covenant compliance.

Subject to satisfactory conclusion to discussions with lenders, the Board expects to declare and pay future dividends as targeted. A further announcement will be made in due course.

Christine McVie made two UK Top 20 albums with Chicken Shack her debut solo album, Christine Perfect, and featured heavily on Fleetwood Mac’s Mr Wonderful, Then Play On and Kiln House, before joining the band permanently in 1970. Between 1971 and 1974, she wrote and sang on five albums for the band, including the platinum certified Bare Trees as well as the gold certified Future Games and Mystery to Me. 

In 1975, Lindsey Buckingham and Stevie Nicks joined Christine McVie and other existing members of Fleetwood Mac, Mick Fleetwood and John McVie, to create the most famous and most consistent version of the iconic band. Their first album together, the self-titled Fleetwood Mac, reached Number 1 on the US Billboard 200 chart and launched the band to musical super-stardom. Christine McVie wrote five songs on Fleetwood Mac including the two Top 20 singles, Over My Head and Say You Love Me. Since its release, the album has been certified 7x platinum in the US and was ranked 182nd by Rolling Stone Magazine on their "The 500 Greatest Albums of All Time" chart. In total, five of this album’s 11 songs were written by Christine McVie.

Fleetwood Mac’s follow up album, ‘Rumours’, became one of the bestselling albums of all time having sold over 45 million copies worldwide. An instant commercial success, Rumours sold over 10 million copies worldwide in the month following its release and won “Album of the Year” at the 1978 Grammy Awards. The album was named by Rolling Stone Magazine as the seventh greatest album of all time, has been certified 2x diamond in the US and Canada, as well as 14x platinum in the UK. ‘Rumours’ produced four Top 10 singles, including Christine McVie’s Don’t Stop, which reached Number 3 in the US, and You Make Loving Fun, which reached Number 9 in the US. Both have been streamed more than 1 billion times each across all services. ‘Rumours’ also included the iconic hit The Chain, which was co-written by Christine McVie and has also been streamed more than 1 billion times globally. In total, five of this album’s 11 songs were written by Christine McVie. 

In 1979, Christine McVie wrote six songs on Fleetwood Mac’s multi-platinum double album Tusk, including the Top 20 single Think About Me. Tusk, which reached Number 1 in the UK and Top 5 in seven countries including the US, has been named by NME in their list of “The 500 Greatest Albums of All Time”, and has sold over 4 million copies worldwide. 

In 1982, Fleetwood Mac released Mirage, which sold over 2 million copies in the US alone and was platinum or gold worldwide. Christine McVie wrote four of the album’s 12 songs, including the singles Hold Me, which reached Number 4 in the US, and Love In Store which made Number 22. 

In 1987, Fleetwood Mac released Tango in the Night, which sold over 15 million copies worldwide making it Fleetwood Mac’s bestselling album since Rumours. Tango in the Night featured four US Top 20 singles, including Christine McVie’s Little Lies, which reached Number 4 in the US and is multi-platinum certified, and Everywhere, which reached Number 4 in the UK, both of which have been streamed over
1 billion times globally. In total, five of this album’s 12 songs were written by Christine McVie. 

With Fleetwood Mac, Christine McVie achieved further global success with the multi-platinum certified and the UK Number 1 album, Behind The Mask, in addition to their Greatest Hits and live albums Live, Greatest Hits and The Dance. In total, eight of the 16 songs on Greatest Hits are Christine McVie’s songs, including its single, As Long As You Follow, and it is one of the  most successful compilation albums of all time. It is certified 8x platinum in the US, 9x platinum in Australia and at 3x platinum in the UK. Six Christine McVie songs are included on the US Number 1 live album ‘The Dance’, which is certified 5x platinum in the US. The recent 40th Anniversary Deluxe Edition of ‘Live’ includes 11 Christine McVie songs out of 33. 

In 1998, as a member of Fleetwood Mac, Christine McVie was inducted into the Rock and Roll Hall of Fame and received the Brit Award for “Outstanding Contribution to Music”. In addition, Christine McVie has been awarded a Gold Badge of Merit Award from The Ivors Academy and the “Ivor Novello Award for Lifetime Achievement” from the British Academy of Songwriters, Composers and Authors.

Throughout her history, Christine McVie made two further solo albums: ‘Christine McVie’ in 1984, which included two US hit singles Got A Hold On Me, which reached Number 10, and Love Will Show Us How, which reached Number 30. The album made Number 26 on the Billboard Top 200. This was followed twenty years later by In The Meantime. In 2017, she reunited with Lindsey Buckingham for Lindsey Buckingham Christine McVie which debuted on the UK Album chart at Number 5 and the Billboard Top 200 in the US at Number 17. The album has been certified silver in the UK. 

Combined with its acquisition from Lindsey Buckingham, Hipgnosis now owns the song copyrights and writers share for 7 of 11 songs on Fleetwood Mac, 8 of 11 songs on Rumours, 15 of 20 songs on Tusk, 9 of 12 songs on Mirage, 9 of 12 songs on Tango In The Night, 11 of 16 songs on Greatest Hits, and 12 of 17 songs on The Dance.

Hipgnosis Songs Fund Limited is pleased to announce the appointment of Vania Schlogel, the Founder and Managing Partner of the media and entertainment industry-focused investment firm Atwater Capital, as an independent Non-Executive Director of the Company, with immediate effect.

Vania founded the global private equity firm Atwater Capital in 2017, with a vision of uniting the valuable creative aspects of evaluating investments and growing companies with deep operational and financial expertise. The firm invests across the media and entertainment sector with a focus on companies that foster cultural diversity, working with management teams committed to embracing strong ESG practices.

Prior to launching Atwater, Vania served as an executive at a number of leading companies, including as Chief Investment Officer of Roc Nation, the entertainment business founded by the artist Jay-Z. She was previously a member of KKR's Private Equity team, where she specialised in the Media sector and launched the Growth Equity division. Vania began her career in the Leveraged Finance and Capital Markets groups at Goldman Sachs in London and LA.

Her other Board appointments include serving as the Chairwoman of the Board for Epidemic Sound, the platform for restriction-free music that recently raised $450m at a $1.4bn valuation from investment funds managed by Blackstone Growth and EQT Growth. Vania is also Chairwoman of the Board for LEONINE Studios, Germany's leading content production and distribution company.

On 29 June 2018, Hipgnosis Songs Fund Limited, the first investment company to be admitted to trading on the main market of the London Stock Exchange offering pure-play exposure to Songs and associated musical intellectual property rights, announced that it had successfully raised gross proceeds of £200 million pursuant to the Initial Placing of its ordinary shares (the “Ordinary Shares”) as described in the prospectus published by the Company on 27 June 2018 (the “Prospectus”).
