The Investment Adviser has assembled an Advisory Board of highly successful music industry experts which include award winning members of the recording artist, songwriter, publishing, legal, financial, recorded music and music management communities, all with in-depth knowledge of music publishing. This ensures the Investment Adviser has access to an extensive network of contacts and expertise to assist it in identifying, acquiring and managing Songs.
The Advisory Board
Merck Mercuriadis, as principal of the Investment Adviser, will be supported by an experienced team who will comprise the Advisory Board. The Advisory Board is a carefully selected group of some of the most successful entrepreneurs, executives, legal advisers, producers, investment bankers and songwriters in both the music and business communities, with a remit to provide expert advice as well as checks and balances on both the creative and financial aspects of all acquisitions, and the subsequent management of the Company’s Songs. The Investment Adviser has appointed the members of the Advisory Board to provide it with advice from time to time. No members of the Advisory Board are directors, officers, employees or consultants of the Investment Adviser. The Advisory Board will comprise the following members:
Mr Rodgers is an American record producer, songwriter, musician, composer, arranger, and guitarist. He is the lead guitarist, and co-founding member, of the band Chic, which has been active since 1976 and is responsible for hits such as ‘‘Le Freak’’, ‘‘Everybody Dance’’, ‘‘Good Times’’ and many others. In 2017, Mr Rodgers was inducted into the Rock ‘n’ Roll Hall of Fame. Mr Rodgers’ work as a producer and songwriter has resulted in some of music’s most influential and iconic albums including David Bowie’s ‘‘Let’s Dance’’, Madonna’s ‘‘Like A Virgin’’, Diana Ross’s ‘‘Diana’’, and Daft Punk’s ‘‘Random Access Memories’’, which include Songs which are also some of the most sampled of all time. He is also the author of the number one, best-selling autobiography, ‘‘Le Freak: An Upside Story of Family, Disco and Destiny’’.
Terius ‘The-Dream’ Nash
Terius Youngdell Nash, better known by his stage name The-Dream, is an American R&B record producer, singer and songwriter. He is a multiple Grammy Award winner and his co-writing credits include some of the most culturally important pop hits of the last 15 years including ‘‘Me Against the Music’’ (2003) for Britney Spears and Madonna, ‘‘Umbrella’’ (2007) for Rihanna, ‘‘Single Ladies (Put a Ring on It)’’ (2008) for Beyonce´ , ‘‘Baby’’ (2010) for Justin Bieber, ‘‘All Of The Lights’’ (2011) for Kanye West, ‘‘No Church In The Wild’’ for Jay Z, Kanye West and Frank Ocean (2012) and ‘‘Holy Grail’’ for Jay Z and Justin Timberlake (2013). In 2016 he wrote songs featuring in the new album releases from Rihanna, Kanye West and Beyonce´.
Mr Naylor is a non-executive director of the London FTSE-listed Jupiter Green Investment Trust plc, where he is Chairman of the board. He has been appointed to the advisory board of various companies, including the U.S.$400 million Toronto-based water private equity fund XPV Capital LLP, and the U.S.$1.3 billion Energy Fund III of the emerging markets private equity firm Actis. In 2013, Mr Naylor joined the board of the University of Cambridge Institute for Sustainability Leadership (CISL). 77
William (Bill) Leibowitz
Mr Leibowitz is an attorney, and is the founding partner of Roberts, Leibowitz and Hafitz PLLC. He is the former Chief Operating Officer and General Counsel for Sanctuary, and continued in this capacity after Sanctuary was acquired by the Universal Music Group until Mr Leibowitz returned to private practice. Mr Leibowitz specialises in intellectual property law and during his legal career of 35 years he has represented many renowned recording artists and major international intellectual property companies. Mr Leibowitz has been retained by the Company to provide legal services in connection with Song acquisitions as well as ongoing royalty/licensing issues and other legal services.
Mr Montone is an attorney, and is the founder of Monotone Management and Third Man Records. Mr Montone has over 15 years’ experience in the music industry, and is the manager of Jack White of The White Stripes, Vampire Weekend, The Shins and Danger Mouse.
Mr Freed is the former president of Rondor Music Group/Universal Music Publishing Group. Mr Freed was inducted as a publishing executive into The Songwriters Hall of Fame in 2012. Over the last 40 years, he has signed and worked with Brian Wilson, Rod Temperton, Tom Petty, Bruce Springsteen, Jason Derulo, Mika and Dire Straits as well as leading the acquisition of some of the world’s most prestigious publishing Catalogues.
Mr Flom is an American music industry executive and CEO of Lava Records and Lava Music Publishing. Mr Flom previously served as Chairman and CEO at Atlantic Records, Virgin Records and Capitol Music Group and is personally responsible for launching acts such as Kid Rock, Katy Perry, and Lorde. The New Yorker described him as ‘‘one of the most successful record men of the past 20 years…known for his specialty in delivering ‘monsters’’’.
Mr Lindvall is a highly experienced banker with a background from Credit Suisse, Morgan Stanley and a large Real Estate Private Equity fund. He currently runs CreditSquare, specialising in advising small and medium sized companies on a wide range of mergers and acquisitions, capital raising and financings. Mr Lindvall has a deep and wide network of relationships amongst financial investors, family offices and entrepreneurs.
